Incorporation

At Weltman, Bernstein we have the ability to incorporate your business, both provincially and federally, quickly and efficiently, online. We arrange for your name search and prepare your articles of incorporation for you, submitting them to either the Corporations Branch in Toronto or Industry Canada in Ottawa for registration. Once incorporated, we prepare all required documentation -- Bylaw No. 1, Shareholder and Director resolutions for your signature, and will arrange for the issue of all shares. We file the Original Notice on your behalf with the Corporations Branch and provide all documents to you when complete.

An important advantage in holding your business in a corporate form (as opposed to a sole proprietorship) is protecting yourself from the debts and other liabilities of your business. In law, a corporation is a separate person from its shareholders. Therefore a Corporation enters into contracts, pays its taxes, earns its income and generally carries on its business in its own name. This can be contrasted with partnerships and sole proprietorships in which income is earned and taxes paid in the proprietors' or partners' names. Another advantage of incorporating is the ability to continue operating in perpetuity even after the death or retirement of the Corporation's directors or shareholders.

The initial costs of incorporating are higher than registering a partnership or proprietorship. Corporations are also required to file annual tax returns and hold annual meetings to, among other things, approve their financial statements.
